Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services offered by heyBonita.ai (“heyBonita,” “we,” “us,” or “our”), including the AI companion experience referred to as Bonita (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. If changes are material, we will provide additional notice where practical (for example, by email or an in-product notice). Your continued use after the effective date of changes constitutes acceptance of the updated Terms.

2. Eligibility and accounts

You must be able to form a binding contract in your jurisdiction to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

You are responsible for safeguarding your account credentials and for activity under your account. Notify us at cj@heybonita.ai if you suspect unauthorized access.

3. The Service

Bonita provides AI-assisted conversation, discovery, and related features. Outputs may be inaccurate, incomplete, or unsuitable for your situation. The Service is provided for informational and productivity purposes and is not a substitute for professional advice (including legal, medical, financial, or safety advice). You are responsible for how you use outputs and for verifying information when it matters.

We may modify, suspend, or discontinue features or the Service (in whole or in part) with reasonable notice where practical. We may also impose limits (for example, usage limits aligned with your plan) to protect the Service and other users.

4. Acceptable use

You agree not to:

• Violate applicable law or infringe others’ rights.
• Attempt to probe, scan, or test the vulnerability of the Service, or bypass security or access controls.
• Use the Service to generate or distribute malware, spam, or deceptive content at scale.
• Reverse engineer or attempt to extract underlying models or non-public APIs except where permitted by law.
• Use the Service to develop competing models or services by systematically harvesting prompts or outputs.
• Harass, abuse, or harm individuals or groups, or generate sexual content involving minors.

We may investigate misuse and suspend or terminate accounts that violate these Terms or put the Service at risk.

5. Subscriptions, billing, and taxes

Paid plans and add-ons are billed through our payment processor (currently Stripe). By purchasing, you agree to Stripe’s terms and to provide accurate billing information. Subscription fees are charged on the schedule shown at checkout until you cancel. Taxes may apply based on your location and are collected where required.

Plan details, included usage, and upgrade paths are described on our Pricing page and in-product settings. If your plan includes usage-based charges, you authorize us and our payment processor to charge your payment method for amounts within any spend limits you configure.

6. Intellectual property

The Service, including software, branding, and content we provide (excluding your content), is owned by heyBonita and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes.

You retain rights to content you submit (“Your Content”). You grant us a worldwide license to host, process, transmit, and display Your Content as needed to operate, secure, and improve the Service and to comply with law. You represent that you have the rights necessary to grant this license.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYBONITA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HEYBONITA FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnity

You will defend and indemnify heyBonita and its affiliates against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. You and heyBonita agree that the state and federal courts located in Delaware will have exclusive jurisdiction for disputes arising from these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
